Our people have a shared expectation that their behaviours and actions will demonstrate our values and strengthen our stakeholders’ perceptions of PRS. We aspire to have simple, commonsense systems and processes. We have a strong belief that people know right from wrong, and an expectation that our people will take accountability for their actions.

This Code of Business Conduct and Principles explains the standards we expect. The rules do not cover every issue that may arise, but set out the basics to guide all our people in carrying out their business duties. In all business situations in which our requirements appear incomplete or unclear, our people shall use good judgment and common sense and seek advice from their supervisors as to how to handle the situation.

The expectation is of adherence both to the letter and the spirit of the code. All our people, whatever their positions, must comply with this code and ensure compliance by all under their supervision. If you believe the Code of Business Conduct and Principles has been broken by anyone in PRS you have a responsibility to report it.

Deliberate failure to observe the principles contained in this document may provide grounds for dismissal.

1. Avoiding conflict of interest

PRS insists on honesty and integrity in all aspects of business.

All transactions on behalf of Pioneer Road Services must be appropriately described in the accounts of the company in accordance with established procedures and be subject to audit and full disclosure.

Our people are required to avoid conflicts of interest between their private financial activities and their part in the conduct of company business. Employees must declare all conflicts of interest, real, potential or perceived.

Development of computer software and/or other inventions, resulting wholly or substantially from the employee’s knowledge of or association with company activities or the use of company facilities remain the property of PRS.

Our people are expected to maintain impartial relationships with customers and suppliers, and only act in the best interest of the company. No employee shall have an interest in companies that supply PRS or whose products and services compete with ours.

The offer, payment, soliciting or acceptance of bribes in any form is unacceptable. Our people are prohibited from directly or indirectly offering, granting, demanding or accepting gifts or donations or any other unjustified advantage of value. This does not apply to offering or accepting occasional gifts, hospitality or entertainment that are of insignificant monetary value and arise only occasionally and out of ordinary corporate hospitality and customer business practices.

All donations must be authorised by two people, one being a general manager.


2. Legal compliance

PRS and its employees are committed to conducting business in accordance with applicable Australian laws and regulations. When dealing with customers, competitors or other third parties, employees shall neither undertake any commitment nor engage in any agreement which is prohibited as anti-competitive, discriminating, or illegal.

PRS respects the principles and rules of fair competition which prohibit anti-competitive behaviours and abuse of a dominant market position.


3. Handling information

Our people are to treat the business affairs (including customers, sales and pricing, financial, strategic and technical information) and records of PRS as strictly private and confidential.

The preparation of documents (including payment of accounts, expense claims and wage records) and the recording of financial and statistical information are required to be true, fair, fully and correctly completed in a timely fashion.

All our people who use IT systems shall pay particular attention to IT aspects of confidentiality such as data protection and data security. The sharing of personal user names and passwords with other employees or third parties (except the authorised system administrator) is expressly prohibited. Similarly, special codes which allow access to privileged facilities are not to be divulged to any other employee or third party.

Upon leaving PRS employment, any PRS documents and/or computer information that an employee possesses must be returned unless written permission has been obtained for retention.


4. Handling company property

Our people are expected to exercise care, careful use and protection towards PRS assets (for example,tools, buildings, computers, etc), avoid damage and report any misuse, abuse or neglect.

5. Fair employment practices

PRS is committed to fair employment practices and to follow the applicable labour and employment laws. PRS is determined not to tolerate any prohibited or unlawful discrimination, harassment or offence.

6. Health, safety and environment

It is PRS policy to conduct its activities in such a way as to take foremost account of the health and safety of employees and of other persons, and to give proper regard to the conservation of the environment.

In implementing this policy, PRS not only complies with the requirements of the relevant legislation but promotes in an appropriate manner measures for the protection of health, safety and the environment for all who may be affected, directly or indirectly by PRS activities.

Such measures pertain to safety of operations carried out by employees and contractors: product safety; prevention of air, water and soil pollution; and precautions to minimize damage from such incidents as may occur.


7. Political activities

PRS does not make payments to political parties, organisations or their representatives nor take part in party politics. However when dealing with government, we have the right to make our position known on matters that affect our people and our customers.

8. Limits of Authority

Our people are expected to know the limits of their authorities to speak on PRS’ behalf and to commit PRS to financial or other obligations, and must always act within those limits.

If an employee is unsure about the nature or limits of their authority, clarification should be sought from your supervisor.
